License Terms for Passive Digital Mastery

This License Agreement, effective as of the date of your purchase, sets forth the License terms related to your purchase of Passive Digital Mastery, a digital product purchased from Tiffany The Truther LLC (the “Company” or “Licensor”). You, as the Purchaser, are the Licensee.

• The Digital Product.

The offering is called Passive Digital Mastery, which is offered both as a digital course and a product, available for reselling at various levels, described in greater detail below.

• License Granted.

Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee a non-exclusive, revocable, worldwide license to resell the Product known as “Passive Digital Mastery” (hereinafter, “the Product”) subject to certain conditions below, and only in strict accordance with the terms of this Agreement.

• Terms of License. Licensee agrees to the following terms:

a. No Modification of Other Contents. Licensee shall not modify, adapt, translate, reverse engineer, deconstruct, disassemble, rebuild, or otherwise tamper with the contents of the Product. To be clear, Licensee is prohibited from: (1) Selling portions of the product (2) Changing material or content within the product (3) Creating derivative works based on or originating with the product (4) Changing the creator of the product

b. No Claim to IP. Licensee shall not claim ownership of or rights to the intellectual property contained in the Product. Licensee may not seek any intellectual property registrations (copyright or trademark) related to the content in the Product. Licensee shall not place its own copyright notices on the content or alter any existing notices placed by Tiffany The Truther LLC.

c. MAP Policy. Licensee acknowledges receipt of Tiffany The Truther LLC's Minimum Advertised Price (MAP) Policy. MAP Policy Located Here. Company will not accept Licensees into its program that do not acknowledge receipt of the MAP Policy.

d. Resell Rights. Licensee may resell the Product to end users without transferring the Master Resell Rights if they so choose. Reselling to other resellers is permitted. (1) If reselling the Master Resell Rights, Licensee agrees to include these terms and conditions with the product and to ensure all customers adhere to them. (2) Licensee may include additional content or opportunities as long as they do not conflict with the Community Agreement for Passive Digital Mastery. (3) Resell Rights Limitations: a. Licensee is prohibited from giving away the Product for free or bundling it as a free add-on. b. Licensee is prohibited from lead-poaching from other community members. (4) Distribution Summary: e. A "Distribution Rights Summary" is provided as Exhibit A and posted in the Learn and Earn Profits Online course.

• Respectful Communication. Disrespect, harassment, bullying, or discrimination in any community forum or group associated with the Product will not be tolerated and is grounds for removal.

• Confidentiality & Non-Disclosure Agreement. You agree to keep confidential any information shared by others within the community or Product forum. Do not share or repurpose content from private spaces.

• Reservation of Rights. Tiffany The Truther LLC reserves the right to remove any participant for breach of these terms or disruptive behavior. Your sole remedy, if any, is a refund of any amount paid.

• Compliance with Agreement. You are responsible for understanding and complying with these Terms while participating or reselling the Product.

• Compliance with Applicable Laws You are responsible for ensuring legal compliance in your own jurisdiction, including but not limited to the state of Pennsylvania if applicable. Seek legal counsel as needed. Tiffany The Truther LLC is not liable for your compliance.

• Termination. Failure to adhere to these terms will result in the revocation of your resell rights. Tiffany The Truther LLC reserves the right to pursue damages.

• Term This Agreement remains in effect as long as you are accessing or reselling Passive Digital Mastery.

• Disclaimer. Use the Product at your own risk. The Company provides content for educational purposes only and is not liable for results or outcomes. There are no guarantees.

• Earnings Disclaimer. Results are not guaranteed. Any income statements are examples only. Your success depends on various personal and external factors. Do your own due diligence.

• Relationship. This Agreement does not create any joint venture, partnership, employment, or agency relationship.

• Governing Law. This Agreement is governed by the laws of the State of North Carolina. Exclusive jurisdiction lies in Mecklenburg County, North Carolina, except where Pennsylvania law takes precedence for Licensees located in Pennsylvania.

Exhibit "A" Distribution Rights

CAN be Sold - YES CAN sell resale/resell rights or master resell rights - YES CAN add the product to your bundle/package and sell for a higher price - YES CAN be added to a paid membership site - NO CAN give the product away for FREE - NO CANNOT offer the product as a free bonus to another paid product - NO CAN offer bonuses WITH this product - YES CAN sell on auction sites (e.g., eBay) - NO CANNOT be used in dime sales - NO Translation requests must be approved in writing. Credit must be given and legal protections signed. (Fees apply)

MAP Policy: Minimum advertised price is $497. You may sell at or above MAP. Discounts permitted as long as MAP is not violated. Jurisdiction-specific laws may apply.
